MINUTES of Rural Education Matters

Meeting date: May 6, 2010

Call to order: A meeting of the Rural Education Matters was held in St. Helen, Michigan on May 6, 2010.  The meeting was called to order at 7:13 p.m., President Jennifer Jarosz.

Members in attendance: Jennifer Jarosz, John Brownfield, Richard Wood, Scott Marshall, Jan Waltz, Pam Colby and Veronica Bridson.

Minutes: Motion was made by Richard Wood seconded by Jan Waltz to accept the minutes of the April 1, 2010 regular meeting as presented.  Motion carried.

Treasurer’s Report: Motion was made by John Brownfield and seconded by Richard Wood to accept the Treasurer’s Report as presented.  Motion carried.

Adjournment: Motion was made by Richard Wood and seconded by Jennifer Jarosz to adjourn the meeting. The meeting was adjourned at 8:35 p.m.

Meeting date: April 1, 2010

Call to order: A meeting of the Rural Education Matters was held in St. Helen, Michigan on April 1, 2010.  The meeting was called to order at 6:59 p.m., President Jennifer Jarosz.

Members in attendance: Jennifer Jarosz, John Brownfield, Richard Wood, Janet Becker, Scott Marshall and Veronica Bridson.

Minutes: Motion was made by Richard Wood seconded by Scott Marshall to accept the minutes of the March 4, 2010 regular meeting as presented.  Motion carried.

Treasurer’s Report: Motion was made by John Brownfield and seconded by Scott Marshall to accept the verbal Treasurer’s Report.  Motion carried.

Treasurer: Janet Becker has resigned as Treasurer as of March 25, 2010, via e-mail and verbally at this meeting.

Treasurer: Motion was made by Richard Wood and seconded by John Brownfield to nominate Pam Colby as Treasurer.  Motion carried.  Pam Colby accepted the nomination and motion.

Trustee: Motion was made by John Brownfield and seconded by Jennifer Jarosz to nominate Jan Waltz as Trustee.  Motion carried.  Jan Waltz accepted the nomination and motion.

Attorney: Motion was made by Jennifer Jarosz and seconded by Richard Wood to hire Attorney Arthur A. Busch as legal representation for Rural Education Matters.  Motion carried.

Agreement: Motion was made by John Brownfield and seconded by Jan Waltz to accept the Agreement between Rural Education Matters and Tonya Perry, as Consultant.  Motion carried.

Adjournment: Motion was made by Richard Wood and seconded by Jennifer Jarosz to adjourn the meeting. The meeting was adjourned at 8:08 p.m.

Special Meeting date: February 15, 2010

Call to order: A special meeting of the Rural Education Matters was held in St. Helen, Michigan on February 15, 2010.  The meeting was called to order at p.m., President Jennifer Jarosz.

Members in attendance: Jennifer Jarosz, Richard Wood, Janet Becker, John Brownfield, Scott Marshall and Veronica Bridson (for part of the meeting).

Executive Committee: Motion was made by John Brownfield and seconded by Richard Wood to create an Executive Committee.  Motion carried.

Executive Committee: Motion was made by Janet Becker and seconded by Richard Wood to appoint Richards Wood, John Brownfield and Scott Marshall as the Executive Committee.

Contract: Motion was made by John Brownfield and seconded by Scott Marshall to accept the Management Contract with Mid-West.  Motion carried.

Adjournment: Motion was made by and seconded by to adjourn the meeting. The meeting was adjourned at 8:30 p.m.

Meeting date: February 4, 2010

Call to order: A meeting of the Rural Education Matters was held in St. Helen, Michigan on February 4, 2010.  The meeting was called to order at 7:00 p.m., President Jennifer Jarosz.

Members in attendance: Jennifer Jarosz, Richard Wood, Janet Becker and Veronica Bridson.

Member Absent: Tula Alexander.

Minutes: Motion was made by Janet Becker seconded by Richard Wood to accept the minutes of the January 7, 2010 meeting as presented.  Motion carried.

Minutes: Motion was made by Janet Becker and seconded by Jennifer Jarosz to accept the minutes of the January 19, 2010 meeting as presented.  Motion carried.

Board Member:  Motion was made by Richard Wood and seconded by Jennifer Jarosz that John Brownfield be placed on the REM Board.  Motion carried.

Board Member: Motion was made by Richard Wood and seconded by Janet Becker that Scott Marshall be placed on the Board.  Motion carried.

Conflict of Interest Policy: Motion by Richard Wood and seconded by John Brownfield that we rescind the current policy.  Motion carried.

Conflict of Interest Policy/Purchasing Policy: Motion by Richard Wood and seconded by Jennifer Jarosz that we adopt the Board Policies and Procedures for REM.  Motion carried.

Removal of Board Member: Motion by Richard Wood and seconded by Jennifer Jarosz that we remove Tula Alexander from the Board, in order for us to move forward.  Motion carried.

Adjournment: Motion was made by Richard Wood and seconded by John Brownfield to adjourn the meeting. The meeting was adjourned at 8:29 p.m.

Rural Education Matters

    NOTES FROM MEETING   Feb. 4, 2010
    Roll Call – Tula was not present.
    Approved both set of minutes.
    Candy:  Janet Becker gave verbal report on the chocolate candy for sale tonight.
    Open House:  Janet gave verbal report, in April we would like to have an open house with a fundraiser during the open house, we need to make cookies, and Janet would like to have Scott put together a power point presentation to use at the open house.  We would like to have a silent auction, the Chamber has offered to have a silent auction for us, and also Firstbank has offered to donate a CD for the auction.
    We have $425 in our account at the bank.
    Scott made a draft of a tri-fold flyer for REM & Charter School to use and pass out at the WinterFest.
    Addition to the REM Board:  We need to add more members to the Board.  We have to be flexible.  We have a lot of work to do after the grant application is approved at the start of March.
    Dick talked to Steve with the DNR about getting the property from RAPS; we are not getting the property from the DNR now because the school has their attorney involved to set aside the clause that the property goes back to the DNR.
    Dick:  The Management Company will invest about $1 million up front and will assume the risk.
    Appoint John Brownfield as Board Member.  GET MOTION FROM RECORDER.
    Appoint Scott Marshall as Board Member.  GET MOTION FROM RECORDER.
    Brenda Milner asked questions about management companies.
    Jennifer:  Kirtland Board Meeting:  They were very cooperative but can’t help us.  They did not feel it was in their mission to help us.
    Jennifer:  A meeting was held with the Superintendent with COOR, they will not authorize for us, but they are interested in helping with many areas, including special education program.
    Rescind the Motion we made regarding the Conflict of Interest Policy we approved.  Dick made motion.  John seconded.  Motion carried.  GET MOTION FROM RECORDER.
    New Purchase Policy and Conflict of Interest Policy were presented, Dick made motion and Jennifer seconded.  Motion carried.  GET MOTION FROM RECORDER.
    Dick read an e-mail where MDE was contacted; we received an e-mail from Mark.
    Dick made motion that we remove Tula from the Board, seconded by Jennifer.
    Janet  did not vote, John Yes, Veronica Yes, Scott Yes, Dick Yes, Jennifer Yes.

Call to order: A special meeting of the Rural Education Matters was held in St. Helen, Michigan on January 19, 2010.  The meeting was called to order at 6:27 p.m., President Jennifer Jarosz.

Members in attendance: Jennifer Jarosz, Richard Wood, Tula Alexander, Janet Becker and Veronica Bridson.

Motion was made by Richard Wood and seconded by Jennifer Jarosz to adjourn the meeting and take up the Conflict of Interest Policy and the Purchasing Policy at the next regular meeting scheduled for February 4, 2010.  Motion carried.
